Introduction

These Terms of Use (“Terms”) govern your access to and use of the LAWMA AI application (the “App”), which is operated by LAWMA Holdings, Inc., a Utah corporation (“LAWMA,” “we,” “our,” or “us”). The App may be embedded or displayed on a third-party client website (the “Client Website”).

By using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the App.

1. Nature of the Service

The App is an artificial intelligence-powered engagement tool that facilitates communication between you and the operator of the Client Website. LAWMA provides the technology platform only; LAWMA does not itself provide, sell, or guarantee any products or services offered by the Client Website.

2. User Information and Data

When you provide information through the App (including your name, email address, or phone number), you consent to its use for purposes of responding to your inquiry, scheduling, or other communications as described in our Privacy Policy.

The Client Website operator is responsible for how it uses your information. LAWMA disclaims any responsibility for the acts, omissions, or practices of the Client Website operator.

3. TCPA Compliance

If you provide a phone number through the App, you acknowledge and agree that:
– Any text messages or calls you receive are initiated by the Client Website operator, not by LAWMA.
– The Client Website operator is solely responsible for obtaining any consent required under the Telephone Consumer Protection Act (TCPA) or similar laws before sending such communications.
– LAWMA expressly disclaims liability for any claims, damages, or penalties arising from calls or text messages sent by or on behalf of the Client Website operator.

4. Prohibited Conduct

You agree not to:
– Use the App for any unlawful purpose;
– Attempt to interfere with or disrupt the operation of the App;
– Provide false or misleading information;
– Copy, modify, or reverse-engineer any part of the App.

5. Intellectual Property

All rights, title, and interest in and to the App (including software, algorithms, branding, and content) are owned by LAWMA or its licensors and are protected under U.S. intellectual property laws. Your use of the App does not grant you any ownership rights.

6. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. LAWMA DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY.

6A. Artificial Intelligence Output Disclaimer

The App uses artificial intelligence and large language model (“LLM”) technology to generate automated responses. By its nature, such technology may produce outputs that are inaccurate, incomplete, misleading, outdated, or otherwise erroneous, including statements about the Client Website operator’s business, products, or services (“AI Output”).

You acknowledge and agree that:
– AI Output is generated automatically and should not be relied upon as factual, accurate, or representative of the Client Website operator’s actual statements, views, or offerings;
– Neither LAWMA nor the Client Website operator guarantees the accuracy, reliability, or appropriateness of any AI Output;
– The Client Website operator is not responsible for monitoring, reviewing, or correcting AI Output in real time; and
– To the maximum extent permitted by law, LAWMA and the Client Website operator disclaim all liability for any claims, losses, or damages arising from your reliance on or use of any AI Output.

Users are encouraged to verify any information provided by the App directly with the Client Website operator before taking action.

6B. Prohibited Manipulation and Bad Actor Conduct

Users are strictly prohibited from attempting to manipulate, mislead, or “trick” the App’s artificial intelligence technology into producing false, harmful, defamatory, misleading, or otherwise inappropriate outputs (“Malicious Manipulation”) with the intent or foreseeable effect of damaging, disparaging, or otherwise causing harm to the Client Website operator, LAWMA, or any third party.

You acknowledge and agree that:
– Any attempt at Malicious Manipulation constitutes a material breach of these Terms;
– LAWMA actively monitors and logs all interactions with the App for quality assurance, security, and misuse detection;
– LAWMA reserves the right to investigate suspected Malicious Manipulation, and where appropriate, will pursue legal remedies including, but not limited to, civil claims for damages, injunctive relief, and referral to law enforcement; and
– LAWMA expressly disclaims liability for any consequences arising from AI Output generated in connection with Malicious Manipulation by a user.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAWMA AND THE CLIENT WEBSITE OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO DAMAGES RESULTING FROM RELIANCE ON OR USE OF ANY AI OUTPUT (AS DEFINED IN SECTION 6A).

WITHOUT LIMITING THE FOREGOING, NEITHER LAWMA NOR THE CLIENT WEBSITE OPERATOR SHALL BE LIABLE FOR ANY ERRORS, OMISSIONS, MISSTATEMENTS, OR MISREPRESENTATIONS GENERATED BY THE APP’S ARTIFICIAL INTELLIGENCE TECHNOLOGY. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE APP IS TO DISCONTINUE USE.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws rules.

Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in Salt Lake County, Utah. Arbitration shall proceed on an individual basis only.

9. Modifications

LAWMA reserves the right to update or modify these Terms at any time. Updated Terms will be posted with a new Effective Date, and your continued use of the App constitutes acceptance of the updated Terms.
